1. Geltungsbereich

Diese Allgemeinen Geschäftsbedingungen gelten für Leistungen von Kaiser Software, Inhaber Leon Kaiser, Voltmerstraße 71b, 30165 Hannover, Deutschland, im Bereich Softwareentwicklung, Websites, Web-Apps, Webtools, Automatisierung, Discord-Server, Discord-Bots, Setup, Betrieb und App-Entwicklung.

Sie gelten gegenüber Unternehmern im Sinne des § 14 BGB. Gegenüber Verbrauchern im Sinne des § 13 BGB gelten sie nur, soweit keine zwingenden gesetzlichen Verbraucherschutzvorschriften entgegenstehen.

2. Vertragsschluss

Anfragen über Website, E-Mail oder Discord sind unverbindlich. Ein Vertrag kommt erst zustande, wenn ein Angebot von Kaiser Software vom Kunden angenommen wird oder Kaiser Software mit Zustimmung des Kunden mit der Leistung beginnt.

3. Leistungen, Zahlung und Rechte

Leistungsumfang, Vergütung, Zeitrahmen und Nutzungsrechte ergeben sich vorrangig aus dem jeweiligen Angebot. Zahlungen können über individuell bereitgestellte Zahlungslinks und PayPal abgewickelt werden. Bei wiederkehrenden Zahlungen oder Abonnements ergeben sich Intervall, Mindestlaufzeit, Kündigungsbedingungen und Leistungsumfang aus dem jeweiligen Angebot beziehungsweise Zahlungslink. Nach vollständiger Zahlung erhält der Kunde die vereinbarten Nutzungsrechte an individuell erstellten Arbeitsergebnissen. Drittanbieter-Komponenten und Open-Source-Software unterliegen ihren jeweiligen Lizenzbedingungen.

4. Haftung und Schlussbestimmungen

Kaiser Software haftet unbeschränkt bei Vorsatz, grober Fahrlässigkeit, Verletzung von Leben, Körper oder Gesundheit sowie nach zwingenden gesetzlichen Vorschriften. Bei leichter Fahrlässigkeit ist die Haftung auf wesentliche Vertragspflichten und vorhersehbare typische Schäden begrenzt, soweit gesetzlich zulässig. Es gilt deutsches Recht.

5. Hinweis zur finalen Prüfung

Diese AGB sind eine vorbereitete Arbeitsgrundlage und sollten vor verbindlicher Nutzung rechtlich geprüft werden.

1. Scope

These terms apply to services provided by Kaiser Software, owner Leon Kaiser, Voltmerstraße 71b, 30165 Hannover, Germany, including websites, web apps, web tools, automation, Discord servers, Discord bots, setup, operations and app development.

They apply primarily to business customers. For consumers, mandatory consumer protection law remains unaffected.

2. Contract

Requests via website, email or Discord are non-binding. A contract is concluded only when an offer is accepted or Kaiser Software starts work with the customer's approval. The individual offer or written agreement takes priority.

3. Services

The agreed scope may include consulting, design implementation, frontend and backend development, databases, APIs, Discord integrations, bots, automation, tests and deployment preparation. Services not expressly agreed are not included.

4. Customer Cooperation

The customer must provide required information, access, content, decisions and legal usage rights in time. Missing or late cooperation may affect schedule and cost.

5. Changes and Acceptance

Change requests outside the agreed scope may be offered and billed separately. If a work result is owed, the customer is given the opportunity to review and accept the work. Acceptance may not be refused for insignificant defects.

6. Payment and Rights

Fees are based on the applicable offer. Payments may be processed through individually provided payment links and PayPal. For recurring payments or subscriptions, interval, minimum term, termination conditions and scope follow the applicable offer or payment link. After full payment, the customer receives the agreed usage rights for the individual deliverables. Reusable components, internal tools, know-how and third-party software remain subject to their respective rights and licenses.

7. Third-party Services

Projects may use providers such as hosting companies, domain providers, Discord, APIs, databases or cloud services. Availability, prices and policy changes of such services are the responsibility of the respective provider.

8. Warranty and Liability

Statutory defect rights apply. Kaiser Software is initially entitled to cure defects. Kaiser Software is liable without limitation for intent, gross negligence, injury to life, body or health and mandatory statutory liability. For slight negligence, liability is limited to breaches of essential contractual duties and to foreseeable typical damages, where legally permitted.

9. Consumers

If a contract is concluded with a consumer by distance communication, statutory withdrawal rights may apply. Any early expiry of withdrawal rights requires the statutory prerequisites.

10. Final Review Notice

These terms are a prepared working basis. Before binding commercial use, legal form, tax status, B2B/B2C focus, payment model, withdrawal process, services and liability should be legally reviewed.
